Who This Agreement Is Between
This is a legal agreement between:
• New Age AI, LLC ("New Age AI", "we," "us," or "our") the company providing the service
• You - the person using our website, funnel and services
If you're using this service for work or on behalf of someone else (like your employer, collectively the "Client"), then the Client is also bound by these rules.
This Is Legally Binding
• If you use New Age AI's services, click "agree," or sign up for an account, you're legally agreeing to follow these rules
• If you're signing up for the Client, you're promising you have permission to make this agreement for them
• If you don't agree with these terms, don't use the service
How Disputes Are Handled
If there's ever a problem or disagreement, you agree that:
• You'll resolve it through arbitration (a private dispute resolution process)
• You can't join with other people to file a group lawsuit
• You'll handle disputes one-on-one with New Age AI
1. Accepting These Terms
How you accept: Simply creating an account with a username means you've accepted these terms, even if you've signed other agreements with New Age AI before.
What else you agree to: You also agree to follow:
• New Age AI's other rules and policies
• The Privacy Policy (which explains what information they collect and how they protect it)
• Any other policies that are part of these terms
Important: Make sure to read all of these policies carefully.
How long this lasts: Once you accept these terms, you're bound by them until either you or New Age AI ends the agreement (see the section about termination for details.
2. Using the Services
Your Rights to Use the Service
What you get: New Age AI gives you permission to use their service, but you're not buying or owning anything. Think of it like renting - you can use it, but it's still ours.
Limitations on your permission:
• You can only use it for yourself (can't share, sell, or give it to others)
• You can't transfer your account to someone else
• New Age AI can take away your permission at any time
• If you get software installed on your computers, you can only use it to create AI voice agents
What you DON'T get: You don't own any part of the service. New Age AI keeps all the rights they don't specifically give you.
What New Age AI Provides
The main service: A platform that lets you create customizable AI voice agents that can talk to your customers in a realistic way.
How it works: Our platform connects different pieces together:
• Speech recognition - records what people say
• AI processing - figures out how to respond using large language models
• Voice generation - converts the response back into speech
• Activity report - lets you view everything through a monthly report
What makes it special: The platform is designed to be fast and make conversations feel natural and human-like, with features like handling interruptions and filtering background noise.
Third-Party Services
Important to know: New Age AI works with other companies (called "Providers") to make our service work. This includes companies like:
• Go High Level (for CRM management, including automated workflows, pipeline updates)
• Twilio (for telephone numbers)
What this means for you:
• Your conversations and data will be shared with these other companies
• Each company has its own rules and terms
• You might need separate accounts with some of these companies
• If you use your own accounts, you'll pay those companies directly instead of through New Age AI
What You CAN'T Do
Absolutely forbidden:
• Sell, rent, or share your access with others
• Use it for anything illegal
• Create AI voice agents for illegal purposes
• Use New Age AI's name, logos, or trademarks without permission
• Try to copy, reverse-engineer, or steal our software
• Use bots or automated tools to scrape our website
• Upload viruses or try to hack our systems
• Pretend to be someone else
• Use the service to train your own AI models or create competing products
Consequences: If you break these rules, New Age AI can decide you've violated the terms and can terminate the use of our service immediately.
Service Updates
What to expect: New Age AI will regularly update and change our service, and they might:
• Add new features
• Remove existing features
• Require you to update software on your computers
• Make these changes without telling you first
Fees and Pricing
How pricing works:
• Prices are listed on our website
• New Age AI can change prices, but your current subscription price won't change until your next billing period (like next month)
Additional costs:
• New Age AI's fees are separate from what their partner companies charge
• If you need premium features from companies like Twilio or Go High Level, you'll need to pay them separately
Setup Fees
Setup fees are determined based on the complexity of the client's individual requirements and will be communicated prior to onboarding. New Age AI reserves the right to adjust setup fees based on the scope of work required to configure, integrate, and deploy the service for each client.
Third-Party Service Fees and Pass-Through Costs
New Age AI will only charge clients the exact amount billed to us by third-party providers for additional services required to operate the platform. These pass-through costs include, but are not limited to, carrier fees, platform fees, and regulatory compliance costs. New Age AI does not mark up these fees.
A2P (Application-to-Person) Messaging Approval: Clients are required to pay for each A2P registration and approval attempt, regardless of whether the attempt is approved or rejected by the carrier. New Age AI is not responsible for carrier decisions regarding A2P approval, and no refunds will be issued for unsuccessful attempts.
AI Bot Usage Fees
Each subscription plan includes up to $25.00 per month in AI bot usage fees. If bot usage exceeds $25.00 in any given billing period, the client is responsible for paying the full amount that exceeds this threshold. Excess usage fees will be billed at the end of each billing cycle. If payment for excess usage is not received, the client's account will be paused until the outstanding balance is paid in full. New Age AI is not responsible for any loss of service, data, or business resulting from an account pause due to non-payment of excess usage fees.
3. Creating an Account
Registration Process
How to get started: To use New Age AI's services, you need to create an account by filling out our registration form.
What you're promising when you sign up:
• All the information you provide is true and accurate
• You'll keep your information updated if anything changes
• You can delete your account anytime if you want to
Who Can Use This Service
Age requirements: You must be at least 18 years old (or whatever the legal adult age is in your country) to use this service.
Legal requirements: You can only use this service if:
• You're legally allowed to sign contracts
• You're not banned from using this type of service in the US or your country
• You're not restricted by export control laws
Your Account Security
Creating your login: You'll choose a username and password when you create your account.
Your responsibilities:
• Keep your login information safe and secret
• Don't share your account or password with anyone
• You're responsible for everything that happens with your account (even if someone else uses it without your permission)
• You'll be charged for any usage that happens with your account
If something goes wrong: Tell New Age AI immediately if:
• Someone uses your account without permission
• You think your password has been stolen
• You notice any security problems with your account or devices
4. Intellectual Property Rights, Ownership, and Permissions
a. Your Content
Any content you upload or send through our platform is yours. You keep full ownership of it, including any copyrights or intellectual property rights. New Age AI doesn't claim any ownership of your content and will only use it in the ways explained in this agreement.
b. What You Allow Us to Do
You give New Age AI permission to use your content around the world, without charging you, so we can run and improve our services. This includes things like storing, analyzing, editing, and sharing your content—but only as needed to provide you with the service.
You control what data we can access through settings on your end.
If your content is "HIPPA protected", we will:
• Not store your call recordings, transcripts, or logs
• Not access your data as long as it's on the platform (and allow you to manually delete the data)
• Not use your data to train our AI
If your content is not "HIPPA protected", we will:
• Store your call data, recordings, and transcripts until you delete it or the retention period ends
• Use this stored data to improve call performance, such as better detecting when someone is done talking or gets interrupted
• We may use this data to train our models, either in-house or on your own server
No matter what, we do not use your content to gather personal customer insights or caller details. We only use it to make your AI calls work better and faster.
If you send us any suggestions or ideas (called "Feedback"), we can use them however we like, for free, and without any promise to keep it secret. You confirm that you have the right to share this feedback with us.
c. Our Rights
Everything that makes our service work—like the software, images, sounds, logos, and AI tech—belongs to New Age AI or our partners. You're allowed to use it, but only as explained in our terms and as long as you're paying for the service (if required).
d. Third-Party Providers
Some parts of our service use tools from other companies (like voice generation or transcription). These companies also need permission to use your content to do their job. Each one has its own terms and policies, which you should read.
We expect them to act responsibly and follow privacy laws, but we don't control or guarantee their behavior. Please check their terms to understand how they handle your data.
5. Aggregate Stats
New Age AI tracks how you use the platform and collects data about it in a way that doesn't identify you personally (this is called "Aggregated Statistics"). This data helps us understand overall usage and performance of the platform.
New Age AI owns this anonymized data and can use it to run, improve, promote, and develop the services we offer.
6. Communications
By using our services or agreeing to these terms, you agree that New Age AI may contact you through email, calls, SMS messaging or push notifications. Message frequency will vary. Msg & data rates may apply.
These messages may include:
• Information about your account or how you use the service
• Updates on new features or service changes
• News about New Age AI or industry trends
You can choose to stop receiving non-essential communications (like promotions or newsletters) at any time by following the unsubscribe instructions in our emails or SMS messages. However, we may still send important messages related to your account or use of the service.
7. Term and Termination
a. When These Terms Start
These terms start the day you either create an account or first agree to them, and they stay in effect as long as you're using the services—unless ended earlier as explained below.
b. When New Age AI Can End or Suspend Your Access
New Age AI can pause or end your access to the services right away and without notice if:
• You break any part of these terms
• The law requires us to stop offering the service
• It becomes too difficult or impossible to continue providing the service
If we end your account and you paid in advance, we'll refund the unused portion of your subscription on a pro-rated basis (based on how much time was left).
c. What Happens if You Don't Pay
This is a subscription service. If you don't pay your subscription fees, your account will be paused. Your service won't continue until payment is made. New Age AI is not responsible for any loss of access or data during this pause.
d. How You Can Cancel
You can stop using the service and end these terms by letting us know you no longer want the service. Some parts of the terms will still apply even after you cancel (see below).
e. What Happens After Termination
Once your account is terminated (by either you or us):
• You'll lose access to the services and your account
• Any data or files in your account may be deleted
• We're not responsible for any loss because of this
f. What Still Applies After Termination
Some parts of the agreement will still apply even after your account is closed. These include terms related to ownership of content, how your data was used, our rights, limitations of liability, and legal terms.
8. Changes to These Terms
From time to time, New Age AI may update these Terms.
When we do:
• We'll post the updated version on our website and in the app
• We'll update the "last modified" date at the top of the page
• If the changes are major and you have an account, we'll also email you using the last email address you gave us
When changes take effect:
• If you're a new user, the updated Terms apply immediately
• If you're an existing user, the updated Terms will take effect 30 days after we post them or 30 days after we email you—whichever comes first
We may also ask you to confirm that you accept the new Terms before continuing to use the service.
If you don't agree with the changes, you should stop using the service. If you keep using the service after the changes go into effect, that means you accept the new Terms.
9. Indemnity
a. Your Responsibility to Protect New Age AI
If something goes wrong because of how you use the service, you agree to protect New Age AI and its team (like employees, partners, and contractors) from any legal claims or costs. This includes things like:
• Using the services in a way that breaks the law (like spam or robocalls under the TCPA)
• Violating these Terms or someone else's rights
• Causing harm through negligence or bad behavior
If New Age AI decides to handle a legal issue itself (even if it was originally your responsibility), you agree to fully cooperate. This responsibility still applies even if you close your account or stop using the service.
b. When New Age AI Will Protect You
New Age AI agrees to protect you (and your company, staff, or contractors) if someone sues you claiming that:
• Our platform (not your content) violates their intellectual property or uses their trade secrets
• We acted with serious misconduct, broke the law, or failed to meet the promises we made
New Age AI will pay for damages or legal fees if it's our fault, but you need to help us in defending the claim. New Age AI will control the defense, but won't agree to any settlement that:
• Makes you look guilty or responsible
• Forces you to take action without your written consent
If the issue involves your own intellectual property or confidential info, you get to control the defense.
c. What Happens if a Court Tries to Block Your Use of the Services
If your use of the services gets blocked due to a claim covered above, New Age AI may do one of the following at its own cost:
• Change the service so it no longer violates any rights
• Get permission for you to keep using it
• End your access to the service and give you a refund for the unused portion of your subscription
d. When New Age AI Is Not Responsible
New Age AI is not responsible for claims that happen because:
• You (or your team) changed or misused the service in a way we didn't allow
• You didn't protect your login or account
If the problem was caused by these things, we won't be liable.
e. The Only Promise We Make About Legal Claims
Everything above describes the full extent of New Age AI's responsibilities when it comes to legal claims about intellectual property. We're not making any other promises beyond what's written here.
10. Disclaimer of Warranties and Conditions
a. Use at Your Own Risk
You understand and agree that you're using New Age AI's services at your own risk. The services are provided "as is" and "as available", meaning we don't guarantee they'll always work perfectly or meet your expectations.
New Age AI doesn't make any promises about things like:
• Quality
• Performance
• Reliability
• Whether the service fits your specific needs
• Legal rights (like copyright or ownership)
We specifically don't offer any implied warranties—which are automatic guarantees under the law—unless we've clearly said otherwise.
b. No Guarantees About Performance
Unless we specifically promise something (like in a service-level agreement), New Age AI doesn't guarantee:
• That the services will always be available
• That they'll work without errors
• That they'll always be fast or problem-free
Sometimes, the services might have issues like delays or unexpected outages. This applies to both our services and any services provided by our partners or third-party providers.
c. Verbal or Written Advice Isn't a Promise
Just because you got advice or information from New Age AI (either in writing or by talking to us), it doesn't mean we've made any new promises or guarantees—unless it's clearly written in these terms.
d. You're Responsible for Call Charges
Unless you've set specific limits to control your call volume, New Age AI will not block any incoming voice traffic. So, if your usage goes beyond what you expected, you're still responsible for paying for all the minutes used, even if they exceed your plan or budget.
11. Limitation of Liability
a. We're Not Responsible for Certain Types of Damages
To the fullest extent allowed by law, New Age AI won't be responsible for:
• Lost profits, revenue, or data
• Business disruptions or downtime
• Costs for replacement services or tools
• Any indirect or unexpected damages
Even if we were warned something might go wrong, we're not liable for those types of losses if they happen because of your use of the service or these terms.
b. Maximum Amount Either of Us Could Be Liable For
If New Age AI is ever found legally responsible for something under these terms, each party would not be liable beyond the greater of:
• $100, or
• The total amount you paid New Age AI in the 12 months before the issue happened
This limit still applies even if the solution you were expecting didn't fully fix the problem, or provide adequate compensation.
Note: Some places (countries, states, or regions) have laws that don't allow these kinds of limits. If that's the case where you live, some of this section may not fully apply to you.
12. Governing Law and Dispute Resolution
a. Governing Law
These Terms—and anything related to them or your use of our services—are governed by the laws of the State of New Jersey, no matter where you are located.
b. Arbitration Instead of Court
If there's a legal dispute between you and New Age AI related to these Terms or the services, it will be handled through binding arbitration, not in court.
There are a few exceptions where court may be involved:
• Disputes about intellectual property rights
• Claims of theft, privacy violations, or unauthorized use
• Requests for emergency or special legal actions (like an injunction)
c. Try to Work It Out First (Informal Dispute Resolution)
Before going to arbitration (or small claims court), we both agree to try to resolve the issue informally by talking things out in good faith. This "Informal Dispute Resolution Conference" can happen by phone, video call, or in person. If you have a lawyer, they can join, but you must attend too.
To start this process, one of us must send the other a written notice explaining:
• Your name and contact info
• Your lawyer's info (if you have one)
• A short description of the issue
Send this notice to us by email at [email protected], and follow it up with a mailed copy to 532 Old Marlton Pike W #591, Evesham, NJ 08053.
We'll aim to have the meeting within 45 days of receiving the notice, unless we both agree to a different timeline. If we can't resolve it informally after 60 days, either of us can move forward with arbitration. If you want to use small claims court instead, it must be filed in Mt. Holly, New Jersey.
d. No Jury Trials
You and New Age AI agree to give up the right to a trial by judge or jury. All disputes (except the few exceptions mentioned earlier) will be resolved through arbitration instead.
e. No Class Actions
You agree to handle any legal claim against New Age AI on your own, not as part of a group or class action. Likewise, New Age AI can't group claims against you. No mass actions, class actions, or representative lawsuits are allowed.
f. Arbitration Rules and Process
If we can't solve the issue informally after 60 days, either side can start arbitration.
• Arbitration will be run by the American Arbitration Association (AAA)
• It will follow AAA's Commercial Arbitration Rules
• It will take place in Mt. Holly, NJ
• A single arbitrator will decide the issue
• The arbitrator will also decide whether the arbitration terms are valid and how they apply
Even though New Jersey law applies to these Terms, the Federal Arbitration Act governs this arbitration section.
13. International Use
You can use New Age AI's services from anywhere in the world, but some features may not be available in your country. New Age AI doesn't guarantee that the services are suitable or allowed in every country. If you choose to use the services outside the United States, you're doing so on your own and it's your responsibility to follow your local laws.
If you're outside the U.S. and have a legal issue with us, you agree that using New Jersey (as mentioned earlier) as the location for resolving disputes is acceptable and that you won't argue that it's an inconvenient location.
14. Severability, Waiver
If any provision of these Terms is found unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions. Any waiver or failure to enforce any provision of these Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
15. Export Control
You agree not to use, share, or move New Age AI's services in ways that break U.S. or other applicable laws.
Specifically:
• You can't use or send our services to any countries that the U.S. has embargoed (banned trade with)
• You can't use our services if you or your business is on a U.S. government restricted list (like the Specially Designated Nationals list or the Denied Persons List)
By using our services, you promise that:
• You're not in a country that the U.S. has labeled as supporting terrorism or placed under embargo
• You're not on any U.S. government list of banned or restricted individuals or companies
• You won't use our services for anything illegal under U.S. law
You also understand that New Age AI's technology is subject to U.S. export laws, and you agree to follow those laws. You won't export or transfer our services or tech to restricted countries or individuals unless you first get permission from the U.S. government.
16. Notices
When we need to send you important notices about these Terms, we'll do it in writing. Notices will count as officially received if they are:
• Hand-delivered to you
• Sent by a well-known courier service (like FedEx) and you get confirmation it was received (after 1 business day)
• Sent by certified or registered mail (after 3 business days)
• Sent by email — if sent during normal business hours, the notice counts on the same day; if sent after hours, it counts the next business day
If the last email address you gave us isn't working or is outdated, we'll still consider our email as having been properly delivered.

17. Assignment
You can't transfer your rights or responsibilities under these Terms to anyone else without written permission from New Age AI. If you try to do so without approval, it won't be valid.
However, New Age AI is allowed to transfer its rights or responsibilities under these Terms to another company or party at any time, and we don't need to ask for your permission or notify you when we do.
18. Force Majeure
New Age AI is not responsible for delays or failures to deliver services if something happens that's outside of our control.
This includes things like:
• Natural disasters (like floods, fires, or earthquakes)
• War, terrorism, or riots
• Government actions or restrictions
• Shortages in power, fuel, materials, or labor
• Transportation problems
• Pandemics or other emergencies
If any of these events happen, it may temporarily prevent us from fulfilling our obligations—and we won't be held liable.
